1. Parties and agreement
These Terms of Service form an agreement between the customer identified in an Order (“Customer”, “you” or “your”) and Tosecom, trading as Algo Hosting (“Algo Hosting”, “we”, “us” or “our”).
The agreement consists of the accepted Order, these Terms, the Acceptable Use Policy and any Service Level Agreement, Data Processing Agreement or written amendment expressly incorporated into the Order.
A Privacy Notice describes how Algo Hosting processes personal data. The Legal & Risk Notice provides important explanatory information but does not replace or override the agreement.
If you accept an Order on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.
2. Definitions
Account
- The customer account used to order, access or administer Services.
Business Customer
- A Customer acting for purposes relating to its trade, business, craft or profession.
Consumer
- A natural person acting outside their trade, business, craft or profession.
Customer Content
- Software, data, files, configurations, credentials and other material stored, transmitted or processed through a Service by or for the Customer.
Order
- A checkout summary, quote, invoice, order form, partner offer or other accepted document identifying the purchased Service and commercial terms.
Service
- A virtual server, network resource, support service, customer portal function or related infrastructure supplied by Algo Hosting.
Subscription Term
- The billing or committed period identified in the Order.
Policies
- The Acceptable Use Policy and other operational policies expressly incorporated into the agreement.
3. Eligibility and account information
- You must be at least eighteen years old and legally capable of entering into the agreement.
- You must provide accurate and current identity, contact, billing and payment information.
- Business Customers must ensure that the person placing the Order is authorised to act on their behalf.
- You must keep account contact information current so that operational, billing, security and legal notices can reach you.
- Algo Hosting may request reasonable information to verify identity, payment authority, business status, fraud risk, sanctions compliance or eligibility for a promotion.
- Algo Hosting may reject or cancel an Order before provisioning where reasonably necessary because of unavailable capacity, incorrect information, suspected fraud, payment failure, legal restrictions or unacceptable risk. Amounts already collected for a rejected Order will be handled in accordance with applicable law and the payment-provider process.
4. Orders and contract formation
- The website and pricing pages invite customers to place an Order but do not require Algo Hosting to accept every Order.
- An agreement is formed when the Order is accepted and confirmed by Algo Hosting or when Algo Hosting begins providing the ordered Service, whichever occurs first.
- The Order must identify the applicable plan, resources, location, operating system, price, currency, billing period and any material promotional terms.
- Estimates shown before provisioning are not guaranteed delivery times unless expressly stated as binding in the Order.
- Algo Hosting may correct an obvious pricing or configuration error before provisioning. If the corrected Order is materially less favourable, the Customer may reject it and receive repayment of amounts collected for the unprovided Service.
- Customer-specific promises made in support messages do not amend the agreement unless Algo Hosting expressly confirms the amendment in writing through an authorised Order or contract change.
5. Document priority
If contract documents conflict, the following order applies:
- a specifically signed agreement or negotiated amendment;
- the applicable Order;
- a Data Processing Agreement for data-protection matters;
- a Service Level Agreement for covered service-performance matters;
- these Terms of Service;
- the Acceptable Use Policy.
An Order overrides these Terms only where it clearly identifies the provision being changed or is necessarily inconsistent with it.
Marketing materials, FAQs, support guidance and the Legal & Risk Notice do not override the agreement.
6. Service scope
- Algo Hosting provides trading-focused virtual-server infrastructure, network connectivity, customer-portal functions, provisioning and technical support as described in the applicable Order.
- Unless the Order expressly states otherwise, Services are self-managed. Algo Hosting does not install, configure, monitor or operate the Customer’s trading strategy or software.
- Exact CPU, memory, storage, operating system, location and other plan specifications are determined by the Order and canonical product configuration.
- IP addresses, hostnames and other network resources are assigned for use with the Service and are not transferred to the Customer.
- Algo Hosting may replace or reassign an IP address or underlying host where reasonably necessary for security, maintenance, provider requirements or service continuity.
- Algo Hosting does not provide financial, investment, tax, legal, brokerage or prop-firm compliance advice.
- Compatibility references to MetaTrader, cTrader, NinjaTrader, brokers, platforms or software vendors describe intended use only and do not create a partnership or guarantee.
7. Provisioning and access
- Provisioning begins after the Order, required payment authorisation and applicable verification have been completed.
- Provisioning may be automated or manually reviewed depending on the Order, capacity, fraud controls and infrastructure conditions.
- Any provisioning estimate is an operational target unless expressly guaranteed in the Order.
- Credentials are provided only after the Service is considered ready for customer access.
- You must promptly verify that the delivered plan and access details materially correspond with the Order and report an apparent error without unreasonable delay.
- Reinstallation, reprovisioning, operating-system changes and recovery work may erase data.
- Algo Hosting may require identity or account verification before releasing or resetting administrative credentials.
8. Customer responsibility
- You control and are responsible for Customer Content and activity performed through the Service.
- You are responsible for installing, configuring, licensing, updating, monitoring and operating trading platforms, Expert Advisors, indicators, scripts and other software.
- You are responsible for broker credentials, account permissions, leverage, lot sizing, strategy logic, risk controls and trading decisions.
- You must assess whether the selected plan is appropriate for your workload.
- You must maintain reasonable security controls and independent copies of commercially important Customer Content.
- Assistance provided by support does not transfer responsibility for strategy behaviour, software configuration or trading outcomes to Algo Hosting.
- You must cooperate reasonably with investigations of security incidents, billing disputes and alleged policy violations.
9. Account and security
- You must use strong, unique credentials and restrict administrative, RDP and customer-portal access to authorised users.
- You are responsible for activity performed through your Account or Service, including activity resulting from inadequate credential protection.
- Do not provide broker passwords, private keys, payment-authentication codes or unnecessary secrets to Algo Hosting support.
- You must notify Algo Hosting promptly if you reasonably suspect unauthorised access, credential compromise or unlawful use.
- Algo Hosting may reset credentials, restrict network access or isolate a Service where reasonably necessary to contain a security incident.
- Security intervention does not guarantee that Customer Content or third-party accounts have not already been affected.
10. Acceptable use
- All use of the Services must comply with the Acceptable Use Policy.
- You must ensure that employees, contractors, applications, automated systems and other authorised users also comply with that Policy.
- Prohibited activity includes illegal use, malware, phishing, credential theft, unauthorised access, attack traffic, spam, unlawful intellectual-property use and disproportionate resource abuse.
- The Acceptable Use Policy forms part of the agreement.
- Reports of suspected abuse involving Algo Hosting infrastructure may be submitted through the reporting route.
11. Software and licensing
- You must obtain and maintain all licences, permissions and rights required for Customer Content and third-party software.
- Software supplied with a Service may be used only during the active Service and in accordance with the applicable licence terms.
- Windows activation and other licences supplied as part of the Service do not transfer ownership of licence keys or activation infrastructure to the Customer.
- You must not extract, transfer, resell, manipulate or circumvent licences or activation mechanisms supplied with the Service.
- Algo Hosting does not guarantee continued compatibility of third-party software following vendor updates, operating-system changes or external service changes.
- You remain responsible for broker, prop-firm, platform and software-provider rules applicable to your activity.
12. Availability, maintenance and support
- Algo Hosting will use reasonable care and skill in providing the Services.
- Any uptime, latency, response-time, provisioning or performance figure displayed publicly is a target or estimate unless an applicable SLA expressly makes it binding.
- Availability can be affected by maintenance, security controls, datacentres, upstream networks, DDoS mitigation, software, brokers, customer configuration and events outside Algo Hosting’s reasonable control.
- Algo Hosting may perform planned or emergency maintenance and may migrate workloads where reasonably necessary.
- Where circumstances reasonably allow, Algo Hosting will provide appropriate notice of maintenance expected to cause material disruption.
- Support covers infrastructure, account, billing and access matters within the scope described on the website or Order.
- Support-response targets are not resolution guarantees.
- Algo Hosting does not guarantee connectivity or latency to a particular broker, exchange, endpoint or geographic location.
13. Customer Content, backups and recovery
- The Customer retains its rights in Customer Content.
- The Customer grants Algo Hosting the limited rights necessary to host, transmit, copy, isolate, back up where applicable and otherwise process Customer Content for delivery, security and support of the Services.
- Unless the Order expressly includes a managed backup or recovery service, the Service is not a backup, archive or disaster-recovery product.
- You must keep independent copies of Expert Advisors, source code, configuration files, reports, licence information and other important data.
- Snapshots, host-level backups or internal recovery mechanisms do not create a customer recovery guarantee unless expressly included in an applicable Order or SLA.
- Reinstallation, reprovisioning, cancellation, suspension or hardware failure may result in loss of Customer Content.
- Where mandatory consumer law requires Algo Hosting to make eligible non-personal content available following termination, Algo Hosting will do so within the required scope and subject to the applicable legal exceptions.
- Algo Hosting may preserve relevant data and logs where reasonably necessary for security, abuse investigation, dispute handling or legal compliance.
14. Fees, taxes and payment
- The price, currency, billing period and applicable taxes are shown in the Order or checkout before purchase.
- Unless stated otherwise, recurring subscription fees are charged in advance for each billing period.
- The Customer authorises Algo Hosting and its payment provider to charge the selected payment method for amounts due under the Order.
- Card and payment credentials are processed by the applicable payment provider. Algo Hosting does not need to store complete card details in its application.
- The Customer must keep a valid payment method and accurate billing details on the Account.
- Prices may exclude or include VAT depending on the customer location, tax status and checkout display. The final Order must clearly show the amount payable and applicable tax treatment.
- Business Customers are responsible for taxes, duties and charges imposed on their purchase, excluding taxes on Algo Hosting’s own income.
- Algo Hosting may issue invoices electronically.
- A billing dispute does not remove the obligation to pay undisputed amounts.
15. Subscriptions and automatic renewal
- The Subscription Term and renewal frequency are identified in the Order.
- Unless the Order states that it ends automatically, a subscription renews for successive billing periods until cancelled in accordance with these Terms.
- Before purchase, the checkout must clearly show the recurring price, renewal frequency, minimum commitment if any and the date or event on which paid billing begins.
- A monthly subscription normally renews monthly. A fixed or longer commitment applies only where expressly shown and accepted in the Order.
- Cancelling stops future renewal but does not automatically reverse charges validly incurred before cancellation.
- Mandatory consumer rules concerning contract duration, renewal and maximum notice periods remain unaffected.
16. Trials, credits and promotions
- A trial, free period, discount, partner offer or promotional credit applies only where expressly shown in the Order.
- Offer-specific eligibility, duration, plan limits, seat limits and recurring discount terms form part of the Order.
- Unless the offer states otherwise, a trial may convert to a paid recurring subscription at the price and date clearly displayed before acceptance.
- The Customer must be able to cancel before the first paid renewal using the available online cancellation method.
- Promotions may be limited to new customers, one Account, one organisation, a named partner community or a maximum number of Services.
- Algo Hosting may withdraw or correct a promotion before acceptance and may remove a promotional benefit obtained through fraud, duplicate identities, payment abuse or material breach.
- Promotional credits have no cash value and are not refundable except where mandatory law requires otherwise.
- Expiry or cancellation of a promotion does not entitle the Customer to retain a Service without paying the applicable ongoing price.
17. Subscription cancellation
- The Customer may cancel a subscription through the customer portal or another online method identified by Algo Hosting.
- Where the subscription was concluded online, Algo Hosting will not require the Customer to use a more burdensome offline cancellation method.
- Unless mandatory law or the Order requires an earlier date, cancellation takes effect at the end of the current paid billing period.
- The cancellation confirmation must identify the affected Service and the date on which recurring billing and access will end.
- The Customer remains responsible for charges incurred before the effective cancellation date.
- Cancellation does not automatically provide a refund for unused time in a started billing period, except where required by law, an applicable SLA, the Order or these Terms.
- The Customer must export Customer Content before the Service ends.
- Consumer notice periods and termination rights imposed by mandatory law remain unaffected.
18. Consumer right of withdrawal
- the online withdrawal function;
- the model withdrawal form where applicable;
- or another clear statement communicating the decision to withdraw.
This section applies only to Consumers who enter into a qualifying distance contract.
A Consumer generally has fourteen days from conclusion of the agreement to withdraw without giving a reason.
Where a Consumer asks Algo Hosting to provision or begin supplying the Service during the withdrawal period, the Consumer expressly requests immediate performance. If the Consumer subsequently withdraws during that period, Algo Hosting may charge only the proportionate amount permitted by applicable law for the Service supplied before withdrawal.
The right of withdrawal ends early only where the legal requirements for early expiry have been satisfied. Activation of an ongoing VPS subscription does not by itself create a blanket waiver of mandatory withdrawal rights.
Withdrawal from the initial contract is legally distinct from cancelling future subscription renewal.
Algo Hosting will confirm an electronically submitted withdrawal on a durable medium and will process any required repayment within the applicable legal period.
Submit a withdrawal request19. Refunds and service credits
- Except where required by mandatory law, the Order, an applicable SLA or these Terms, subscription fees are non-refundable once the relevant billing period has started.
- Algo Hosting will correct verified duplicate, incorrect or unauthorised charges in accordance with applicable law and payment-provider procedures.
- Cancellation normally prevents future renewal rather than creating a pro-rata refund for unused time.
- Any service credit for covered unavailability is governed exclusively by the applicable SLA, including its eligibility, exclusions and claim process.
- For Business Customers, an SLA service credit is the exclusive contractual remedy for the covered availability failure, without affecting liability that cannot lawfully be excluded.
- A service credit is not compensation for trading losses, missed trades, slippage, broker penalties, prop-firm losses or lost opportunity.
20. Failed payment and chargebacks
- Algo Hosting or its payment provider may retry a failed recurring payment.
- Algo Hosting may restrict or suspend a Service after payment becomes overdue, subject to mandatory law and any notice reasonably possible in the circumstances.
- Restoring a suspended Service may require full payment of outstanding amounts and reasonable restoration costs disclosed in advance.
- Statutory collection costs and interest may apply to overdue amounts where legally permitted.
- Customers should contact Algo Hosting promptly about an incorrect charge.
- Nothing in these Terms restricts a Consumer’s lawful payment-dispute or chargeback rights.
- Fraudulent, abusive or knowingly unfounded chargebacks may constitute a material breach and may lead to suspension or termination.
- A chargeback does not guarantee preservation of a Service or Customer Content while the payment dispute is unresolved.
21. Service and price changes
- Algo Hosting may make changes reasonably required for security, legal compliance, technical development, upstream-provider requirements or continued operation.
- Algo Hosting may update plan specifications where the overall Service remains materially consistent with the Order or where an equivalent or better replacement is provided.
- Material adverse changes will be communicated in advance where reasonably possible and where required by applicable law.
- Price changes apply from a future renewal date and will be communicated before taking effect.
- Consumers may terminate without additional cost where mandatory law gives them that right because of a price increase or material negative change.
- Algo Hosting may make urgent security or legal changes without advance notice where delay would create material risk.
- Changes to taxes or government-imposed charges may be reflected as legally permitted.
22. Suspension and restriction
Algo Hosting may warn, restrict, isolate or suspend a Service where reasonably necessary because of:
- a material or repeated breach of the agreement;
- prohibited use;
- an active security threat;
- suspected fraud;
- overdue payment;
- a binding legal request;
- sanctions or export restrictions;
- material danger to infrastructure, upstream providers or third parties.
Action will be proportionate to the nature, severity and urgency of the issue based on the information reasonably available.
Algo Hosting may act immediately where delay could enable an active attack, unlawful activity, evidence destruction or material harm.
Where circumstances reasonably allow, Algo Hosting may provide an opportunity to remedy a breach before permanent termination.
Where required by applicable law, Algo Hosting will provide a clear and specific statement of reasons for a restriction, subject to lawful security and disclosure limitations.
A Customer may request review through the Contact page.
A review request does not automatically suspend an urgent protective, legal or security measure.
23. Termination by Algo Hosting
- Algo Hosting may terminate an affected Service for a material breach that is not remedied within a reasonable opportunity provided where appropriate.
- Immediate termination may occur for intentional abuse, serious illegal activity, repeated violations, fraudulent payment, evasion of restrictions or an urgent legal or security requirement.
- Algo Hosting may discontinue a Service or location for operational reasons by providing reasonable notice where circumstances permit.
- If Algo Hosting terminates a prepaid Service solely for its own operational convenience and not because of Customer breach or risk, it will provide an appropriate refund or credit for the unused prepaid period, subject to mandatory law.
- Termination of one Service does not automatically terminate unrelated Services unless the underlying issue affects the wider Account or agreement.
24. Effects of cancellation or termination
- Access to the affected Service ends on the effective termination date.
- The Customer must stop using supplied software licences, IP assignments and access credentials connected to the ended Service.
- The Customer must export Customer Content before access ends.
- Customer Content may be deleted after termination in accordance with the documented retention and deletion process.
- Algo Hosting does not guarantee post-termination recovery unless a specific retention or recovery commitment was expressly agreed.
- Mandatory rights to retrieve eligible content remain unaffected.
- Outstanding payment obligations and provisions intended by their nature to survive termination remain effective.
- Sections concerning payment, intellectual property, confidentiality, liability, disputes and retained records survive where applicable.
25. Data protection
- The Privacy Notice describes how Algo Hosting processes personal data as an independent controller for account, billing, support, security and operational purposes.
- Where Algo Hosting processes personal data contained in Customer Content solely on behalf of a Business Customer, applicable data-processing obligations must be governed by a compliant Data Processing Agreement.
- Customers are responsible for determining whether Customer Content contains personal data and for having a lawful basis to process and host that data.
- Customers must not provide unnecessary sensitive personal data through general support or abuse channels.
- Algo Hosting may use subprocessors and infrastructure providers as described in the Privacy Notice or applicable DPA.
26. Intellectual property
- Algo Hosting and its licensors retain all rights in the website, customer portal, branding, provisioning systems, documentation and service technology.
- The Customer receives only the limited, non-exclusive and non-transferable rights necessary to use the Services during the active Subscription Term.
- The Customer retains ownership of Customer Content subject to third-party rights.
- The Customer grants Algo Hosting only the limited licence required to supply, secure, support and administer the Services.
- Feedback may be used to improve the Services provided it does not identify the Customer or disclose confidential Customer Content without permission.
- Nothing in these Terms transfers ownership of Algo Hosting software, templates, automation, IP resources, licensing systems or infrastructure configurations.
27. Confidentiality
- Each party must use reasonable care to protect non-public information received from the other party that is identified as confidential or should reasonably be understood to be confidential.
- Confidential information may be used only to perform or exercise rights under the agreement.
- This obligation does not apply to information that is public without breach, already lawfully known, independently developed or lawfully received from a third party.
- Disclosure is permitted where required by law, court order or competent authority, subject to lawful notice where permitted.
- Customer passwords, source code and private trading configurations should not be sent to support unless necessary through an expressly approved process.
28. Service warranties and disclaimers
Algo Hosting will provide the Services with reasonable care and skill.
Except for express commitments in the Order or applicable SLA, the Services are provided without a guarantee of uninterrupted or error-free operation.
Algo Hosting does not warrant:
- profitable trading;
- successful execution of an order;
- a particular latency to a broker or endpoint;
- compatibility with every software version;
- uninterrupted third-party services;
- passing a prop-firm evaluation;
- preservation of Customer Content without an agreed backup service.
Trading, leverage, automated execution, broker dependency and software configuration involve risks outside Algo Hosting’s control.
Public statistics, historical performance, latency tests and customer results do not guarantee future performance.
Nothing in this section limits warranties or conformity rights that apply mandatorily to Consumers.
29. Liability
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability arising from fraud, intentional misconduct or deliberate recklessness by Algo Hosting’s management, or death or personal injury where applicable.
Business Customers
- To the maximum extent permitted by law, Algo Hosting is liable only for direct loss resulting from an attributable failure to perform the agreement.
- Algo Hosting is not liable for indirect, consequential, special or punitive loss, or loss of profit, revenue, business, opportunity, goodwill or anticipated savings.
- Algo Hosting is not liable for trading loss, missed trades, slippage, spread changes, broker action, market movement, failed challenges, prop-firm penalties or strategy performance.
- Algo Hosting is not liable for loss or corruption of Customer Content where the Customer failed to maintain an independent backup or where no managed backup commitment applied.
- Algo Hosting is not liable for failures caused by Customer configuration, Customer software, broker systems, trading platforms, upstream networks, datacentres or other third parties outside its reasonable control.
- Algo Hosting’s aggregate liability arising from all events in any twelve-month period is limited to the fees paid for the affected Service during the six months immediately preceding the first event giving rise to liability.
- A series of connected events is treated as one event.
- Any applicable SLA service credit is the exclusive contractual remedy for the specific availability failure covered by that SLA.
Consumers
- For Consumers, liability is limited only to the extent permitted by mandatory law. Nothing in these Terms removes statutory rights to repair, restoration of conformity, price reduction, termination, repayment or damages where those rights apply.
30. Business Customer indemnity
This section applies only to Business Customers.
The Business Customer will indemnify Algo Hosting against a third-party claim, regulatory cost or reasonable expense arising directly from:
- unlawful Customer Content;
- the Customer’s infringement of third-party intellectual-property rights;
- the Customer’s material breach of the Acceptable Use Policy;
- use of a Service without required authorisation;
- or the Customer’s violation of applicable law.
The indemnity does not apply to the extent the claim was caused by Algo Hosting’s own breach, negligence or unlawful conduct.
Algo Hosting must provide reasonable notice of a covered claim and allow reasonable participation in its defence, subject to confidentiality and legal requirements.
31. Events outside reasonable control
- Neither party is liable for delay or failure caused by an event outside its reasonable control.
- Such events may include widespread network failure, datacentre failure, power failure, natural disaster, war, civil disorder, government action, sanctions, labour disruption, epidemic, upstream-provider failure or large-scale cyberattack.
- The affected party must take reasonable steps to limit the impact and resume performance.
- Payment obligations for Services already supplied are not excused merely because the Customer cannot use the Service for reasons unrelated to Algo Hosting.
- If a force-majeure event materially prevents the affected Service for a prolonged period, either party may terminate that Service subject to mandatory law and any applicable refund for an unused prepaid period.
32. Legal compliance, sanctions and export controls
- Each party must comply with laws applicable to its own performance and use of the Services.
- The Customer must not use the Services in violation of applicable sanctions, export-control rules, court orders or binding regulatory restrictions.
- Algo Hosting may request information reasonably required to assess compliance.
- Algo Hosting may refuse, restrict or terminate a Service where legally required or where continued performance would expose Algo Hosting or its providers to unlawful sanctions or export risk.
- Nothing in this section means that Algo Hosting monitors or approves the Customer’s trading strategy or regulatory status.
33. Complaints and review requests
- Customers may submit billing, service or policy complaints through the Contact page.
- The Customer should provide the Account, Order, server or public report reference and a clear description of the issue.
- Algo Hosting may request additional information required to investigate.
- Complaints do not automatically suspend payment obligations, security measures or legal restrictions.
- Where an applicable law requires a statement of reasons or review mechanism for a restriction, Algo Hosting will provide the relevant information subject to lawful security and disclosure limitations.
- Nothing in this section prevents a Consumer from using mandatory external remedies or bringing a claim before a competent court.
34. Governing law and jurisdiction
The agreement is governed by Dutch law.
For Business Customers, disputes will be submitted to the competent court in the district where Algo Hosting is established, unless the parties validly agree otherwise in writing.
Consumers retain the protection of mandatory law applicable in their country of habitual residence and may use the courts available to them under mandatory jurisdiction rules.
Before starting formal proceedings, the parties should make a reasonable attempt to resolve the dispute directly.
35. Notices
- Algo Hosting may send operational, billing, security and contractual notices to the email address associated with the Account or through the customer portal.
- The Customer is responsible for maintaining current contact details.
- A notice is considered received when delivered electronically without a permanent delivery failure, subject to mandatory law.
- Notices concerning termination, significant contractual changes or legal matters will be provided on a durable medium where required.
- Customers may send contractual notices through the Contact page or another verified contact method identified in these Terms.
36. Changes to these Terms
- Algo Hosting may update these Terms for legal, security, technical, product or operational reasons.
- Updated Terms apply immediately to new Orders from the stated version date.
- Existing Customers will receive reasonable advance notice of a material change where required by the agreement or applicable law.
- A materially adverse change will not apply retroactively unless legally required or expressly accepted.
- Consumers may terminate where mandatory law provides that right because of a material contractual change.
- Urgent changes required by law or security risk may take effect sooner, with notice provided as soon as reasonably possible.
- The current version and last-updated date will remain available on the website.
- Algo Hosting should retain an archive or identifiable copy of Terms versions accepted by existing Customers.
37. General provisions
- Neither party waives a right merely by delaying its exercise.
- If a provision is invalid or unenforceable, the remaining provisions remain effective and the invalid provision will be interpreted as closely as lawfully possible to its intended purpose.
- The Customer may not transfer the agreement without Algo Hosting’s prior written consent, except where mandatory law provides otherwise.
- Algo Hosting may use affiliates, employees, datacentres, payment providers, infrastructure providers and other subcontractors to perform the agreement.
- Algo Hosting may transfer the agreement as part of a restructuring, sale or transfer of the relevant business, provided mandatory Customer rights remain protected.
- The agreement constitutes the complete agreement concerning the applicable Service and replaces earlier statements concerning that Service, except for fraud or an expressly preserved written agreement.
- Headings are for convenience and do not change the meaning of the Terms.
- “Including” means “including without limitation”.
